Terms of Service

1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and bugAgent ("we", "our", or "us") governing your access to and use of the bugAgent website at www.bugagent.com, dashboard application, MCP server, APIs, and all related services (collectively, the "Service").

By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

2. Description of Service

bugAgent is an AI-powered bug reporting platform that helps engineering teams capture, classify, and manage software bugs. The Service includes:

  • A web-based dashboard for creating, viewing, and managing bug reports
  • AI-powered bug classification and severity detection
  • An MCP (Model Context Protocol) server for IDE and tool integrations
  • File and media attachment storage
  • Third-party integrations (e.g., Jira, Slack)
  • Team collaboration features
  • API access for programmatic bug report management

3. Accounts

To use the Service, you must create an account with a valid email address. You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activity that occurs under your account
  • Notifying us immediately of any unauthorized use of your account

You must be at least 16 years old to create an account. We reserve the right to suspend or terminate accounts that violate these Terms or that we reasonably believe are being used fraudulently.

4. Subscription Plans and Billing

Plans

The Service is offered under multiple subscription tiers (Free, Pro, Team, and Enterprise), each with different features and usage limits. Current plan details and pricing are available on our pricing page.

Payment

Paid subscriptions are billed in advance on a monthly or annual basis through Stripe. By subscribing to a paid plan, you authorize us to charge your payment method on a recurring basis until you cancel. All fees are stated in US dollars unless otherwise specified.

Plan Limits

Each plan includes limits on bug reports, projects, storage, and team members. If you exceed your plan limits, certain features may be restricted until you upgrade or reduce usage. We will notify you when you approach your limits.

Cancellation and Refunds

You may cancel your subscription at any time from your account settings. Upon cancellation, you will retain access to your paid plan features through the end of your current billing period. We do not provide prorated refunds for partial billing periods. Downgrades to the Free plan take effect at the end of the current billing cycle.

Price Changes

We may change our pricing with 30 days' advance notice. Continued use of the Service after a price change constitutes acceptance of the new pricing.

5. Acceptable Use

You agree not to use the Service to:

  • Violate any applicable law, regulation, or third-party rights
  • Upload malicious code, viruses, or harmful content
  • Attempt to gain unauthorized access to any part of the Service or its infrastructure
  • Interfere with or disrupt the integrity or performance of the Service
  • Use the Service for any purpose other than legitimate bug tracking and reporting
  • Scrape, crawl, or use automated means to access the Service beyond our API
  • Reverse-engineer, decompile, or attempt to extract source code from the Service
  • Resell, sublicense, or redistribute the Service without our written consent
  • Store or transmit content that is illegal, defamatory, or infringes intellectual property rights

We reserve the right to suspend or terminate access for any user who violates this policy.

6. Your Content

Ownership

You retain all ownership rights to the content you submit to the Service, including bug reports, descriptions, media attachments, and any other data ("Your Content"). We do not claim ownership of Your Content.

License to Us

By submitting content to the Service, you grant us a limited, non-exclusive, worldwide license to store, process, display, and transmit Your Content solely for the purpose of providing and improving the Service. This includes processing Your Content with AI models for classification and analysis features.

AI Processing

Your Content may be processed by third-party AI models (including Anthropic's Claude) to provide automatic classification, severity detection, and structured parsing. We do not use Your Content to train AI models. AI processing is performed solely to deliver Service features to you.

Content Removal

You may delete Your Content at any time through the Service. We will remove deleted content from our active systems promptly, though backup copies may persist for a limited period as part of standard infrastructure operations.

7. Intellectual Property

The Service, including its design, code, features, documentation, branding, logos, and all related intellectual property, is owned by bugAgent and protected by copyright, trademark, and other intellectual property laws.

These Terms do not grant you any right to use our trademarks, logos, or brand assets without prior written consent.

8. Third-Party Integrations

The Service may integrate with third-party platforms such as Jira, Slack, GitHub, and others. Your use of these integrations is subject to the respective third party's terms of service and privacy policies. We are not responsible for the availability, accuracy, or practices of any third-party service.

When you enable an integration, you authorize us to transmit Your Content to that third-party platform as configured by you.

In addition to user-enabled integrations, the Service relies on third-party subprocessors (such as Supabase, Cloudflare, Stripe, Railway, and Anthropic) to deliver core functionality. A current list of subprocessors is maintained in our Privacy Policy.

9. API Usage

Access to the bugAgent API is governed by these Terms and any additional API-specific documentation. You agree to:

  • Use the API only for purposes consistent with the Service's intended use
  • Respect rate limits and usage quotas associated with your plan
  • Keep API keys and tokens confidential
  • Not use the API to build a competing service

We reserve the right to throttle, suspend, or revoke API access for abusive or excessive usage.

10. Service Availability

We strive to maintain high availability of the Service but do not guarantee uninterrupted or error-free operation. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control.

For Enterprise customers with an SLA agreement, uptime commitments are defined in your separate Enterprise agreement.

11. Limitation of Liability

To the maximum extent permitted by law, bugAgent and its officers, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising from your use of or inability to use the Service.

Our total aggregate liability for any claims arising from these Terms or the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

12. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that AI-generated classifications, severity assessments, or other automated outputs will be accurate, complete, or suitable for any particular purpose. You are responsible for reviewing and validating all AI-assisted outputs.

13. Indemnification

You agree to indemnify and hold harmless bugAgent and its officers, employees, and affiliates from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.

14. Termination

You may terminate your account at any time by contacting us or through your account settings. We may terminate or suspend your access to the Service immediately, without prior notice, if you breach these Terms.

Upon termination:

  • Your right to access the Service ceases immediately
  • We will retain Your Content for 30 days to allow data export, after which it will be deleted
  • Any outstanding payment obligations remain due
  • Provisions that by their nature should survive termination (including liability limitations, indemnification, and dispute resolution) will remain in effect

15. Governing Law and Disputes

These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to conflict of law principles.

Any dispute arising from these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except that either party may seek injunctive relief in a court of competent jurisdiction.

16. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on this page and updating the "Last updated" date. For significant changes, we may also notify you by email.

Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms. If you do not agree to the updated Terms, you must stop using the Service.

17. General Provisions

  • Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and bugAgent regarding the Service.
  • Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full effect.
  • Waiver: Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.
  • Assignment: You may not assign your rights under these Terms without our written consent. We may assign our rights without restriction.
